{"id":491979,"date":"2025-12-17T09:07:10","date_gmt":"2025-12-17T09:07:10","guid":{"rendered":"https:\/\/www.mobileworldlive.com\/?p=491979"},"modified":"2025-12-19T10:00:39","modified_gmt":"2025-12-19T10:00:39","slug":"parlem-absorbe-el-negocio-de-avatel-en-el-mediterraneo-a-cambio-de-ceder-control-accionarial","status":"publish","type":"post","link":"https:\/\/www.mobileworldlive.com\/spanish\/parlem-absorbe-el-negocio-de-avatel-en-el-mediterraneo-a-cambio-de-ceder-control-accionarial\/","title":{"rendered":"Parlem absorbe el negocio de Avatel en el Mediterr\u00e1neo a cambio de ceder la mayor\u00eda accionarial"},"content":{"rendered":"\n<p>El consejo de administraci\u00f3n de Parlem Telecom, la operadora virtual de comunicaciones catalana, ha aprobado los principales t\u00e9rminos y condiciones vinculantes para la adquisici\u00f3n del negocio de Avatel en Catalunya, las Islas Baleares y Valencia.<\/p>\n\n\n\n<p>El acuerdo supone la integraci\u00f3n de Parlem dentro del grupo Avatel, ya que como contrapartida por la adquisici\u00f3n de los activos, Avatel pasar\u00e1 a controlar el 50,01% del capital de la operadora catalana.<\/p>\n\n\n\n<p>La transacci\u00f3n se formalizar\u00e1 mediante una contraprestaci\u00f3n no dineraria, consistente en la emisi\u00f3n y entrega de acciones nuevas de Parlem procedentes de una ampliaci\u00f3n de capital. Considerando una valoraci\u00f3n de Parlem de 84,4 millones de euros, la valoraci\u00f3n de los activos y contratos objeto de la adquisici\u00f3n equivale a esta participaci\u00f3n mayoritaria.<\/p>\n\n\n\n<p>La adquisici\u00f3n incluye la sociedad Fibracat Telecom, S.L.U., adem\u00e1s de determinados contratos operativos.<\/p>\n\n\n\n<p>Ernest P\u00e9rez-Mas, fundador y presidente de Parlem, ha indicado a <em>Mobile World Live en espa\u00f1ol<\/em> que la operaci\u00f3n tardar\u00e1 a\u00fan unos meses en quedar formalizada, puesto que ahora comienzan los procesos de diligencia debida y cierre de la gobernanza definitiva.<\/p>\n\n\n\n<p><strong>Aspectos financieros y operativos<\/strong><\/p>\n\n\n\n<p>La operaci\u00f3n prev\u00e9 un impulso en las cifras financieras de Parlem. Se estima que el per\u00edmetro adquirido aportar\u00e1 inicialmente una facturaci\u00f3n adicional superior a los 20 millones de euros y un EBITDA superior a los 6 millones de euros.<\/p>\n\n\n\n<p>La operaci\u00f3n generar\u00e1 sinergias anuales que se espera oscilen entre los 3,5 y 4,5 millones de euros en un plazo de cinco a\u00f1os. Con estas cifras consolidadas y la aplicaci\u00f3n de las sinergias previstas, Parlem proyecta alcanzar una facturaci\u00f3n total superior a los 70 millones de euros y un EBITDA que podr\u00eda situarse en los 14 millones de euros en 2026.<\/p>\n\n\n\n<p>Seg\u00fan <em>Cinco D\u00edas<\/em>, el asesor financiero Abanca Investment Banking ha trasladado a Parlem que la operaci\u00f3n aportar\u00e1 valor para el accionista.<\/p>\n\n\n\n<p>En el \u00e1mbito operativo, la toma de control por parte de Avatel permitir\u00e1 a Parlem beneficiarse del contrato mayorista que Avatel mantiene con Masorange.<\/p>\n\n\n\n<p>Este contrato resulta m\u00e1s favorable que el actual de Parlem, y mediante la integraci\u00f3n y el acceso a las nuevas condiciones de alquiler de redes se generar\u00e1 m\u00e1s EBITDA, impulsando directamente su rentabilidad y sus m\u00e1rgenes de beneficio.<\/p>\n\n\n\n<p>Esta consolidaci\u00f3n permitir\u00e1 a Parlem incrementar su presencia en el mercado nacional y consolidar su posici\u00f3n como operadora de proximidad en Catalunya y la Comunidad Valenciana.<\/p>\n\n\n\n<p><strong>Estructura de propiedad y direcci\u00f3n<\/strong><\/p>\n\n\n\n<p>Aunque Avatel obtendr\u00e1 el control mayoritario de Parlem, las partes pactaron que la estructura directiva se mantendr\u00e1 sin cambios.<\/p>\n\n\n\n<p>El liderazgo continuar\u00e1 bajo la direcci\u00f3n del fundador y presidente de Parlem, Ernest P\u00e9rez-Mas, y del consejero delegado, Xavier Capellades. Adem\u00e1s, se establecer\u00e1n acuerdos de gobernanza para asegurar mayor\u00edas reforzadas en decisiones empresariales estrat\u00e9gicas.<\/p>\n\n\n\n<p>Esta operaci\u00f3n representa el primer movimiento de Avatel despu\u00e9s del cierre del proceso de entrada de nuevos accionistas, incluyendo el fondo Inveready, que tambi\u00e9n es accionista de referencia de Parlem.<\/p>\n\n\n\n<p>El cierre definitivo de la transacci\u00f3n est\u00e1 sujeto a la finalizaci\u00f3n satisfactoria de un proceso de due diligence, que incluye una revisi\u00f3n legal, fiscal y laboral, y a la obtenci\u00f3n de las autorizaciones regulatorias pertinentes.<\/p>\n\n\n\n<p><strong>Contexto de Avatel<\/strong><\/p>\n\n\n\n<p>En marzo de 2024 se especul\u00f3 con un posible inter\u00e9s de la operadora saud\u00ed STC por comprar Avatel.
