Discovery (WBD) a rejet\u00e9 l\u2019offre de rachat d\u2019un montant de 108,4 milliards de dollars pr\u00e9sent\u00e9e par Paramount Skydance, estimant que la proposition ne valait pas celle de son concurrent Netflix.<\/p>\n\n\n\n<p>Dans une lettre adress\u00e9e aux actionnaires, le conseil de WBD assure avoir unanimement conclu que l\u2019offre de Paramount n\u2019\u00e9tait pas dans l\u2019int\u00e9r\u00eat de la soci\u00e9t\u00e9 et ne remplissait pas les crit\u00e8res d\u2019une <em>\u00ab proposition sup\u00e9rieure \u00bb<\/em> \u00e0 l\u2019<em>\u00ab accord de fusion avec Netflix \u00bb<\/em> annonc\u00e9 d\u00e9but d\u00e9cembre.<\/p>\n\n\n\n<p>Le pr\u00e9sident de WBD, Samuel Di Piazza Jr., ajoute que le conseil a estim\u00e9 que la valeur de l\u2019offre \u00e9tait insuffisante et qu\u2019elle faisait peser des risques et des co\u00fbts importants sur les actionnaires.<\/p>\n\n\n\n<p><em>\u00ab Cette offre ne r\u00e9pond une fois de plus pas aux pr\u00e9occupations essentielles que nous avons syst\u00e9matiquement communiqu\u00e9es \u00e0 Paramount tout au long de nos \u00e9changes approfondis et de l\u2019examen de leurs six propositions pr\u00e9c\u00e9dentes \u00bb<\/em>, explique Samuel Di Piazza.<\/p>\n\n\n\n<p>Le conseil r\u00e9affirme sa pr\u00e9f\u00e9rence \u00e0 un rapprochement avec Netflix.<\/p>\n\n\n\n<p>Netflix a conclu un accord de 72 milliards de dollars avec WBD portant sur ses studios de t\u00e9l\u00e9vision et de cin\u00e9ma ainsi que sur ses op\u00e9rations de streaming. Paramount a cependant lanc\u00e9 dans la foul\u00e9e une offre publique d\u2019achat hostile de 108,4 milliards de dollars sur l\u2019ensemble du groupe, arguant que l\u2019accord avec Netflix offrait une valeur inf\u00e9rieure et incertaine.<\/p>\n\n\n\n<p>Dans sa lettre, WBD affirme \u00e9galement que Paramount a induit ses actionnaires en erreur en laissant entendre que son offre de 30 dollars par action \u00e9tait enti\u00e8rement garantie.<\/p>\n\n\n\n<p>On ignore \u00e0 ce stade \u00e0 quel moment les actionnaires se prononceront sur l\u2019offre de Paramount.<\/p>\n\n\n\n<p>Le co-directeur g\u00e9n\u00e9ral de Netflix, Ted Sarandos, s\u2019est f\u00e9licit\u00e9 de la d\u00e9cision du conseil de WBD, estimant qu\u2019elle confirmait la valeur sup\u00e9rieur de l\u2019accord de fusion conclu avec Netflix.<\/p>\n","protected":false},"excerpt":{"rendered":"<p>Le conseil d\u2019administration de Warner Bros.
